1. Introduction

These Terms of Use (these "Terms") govern the use of reapp EV Charge mobile application for electric vehicle charging services (the "App"), operated by AB Circle Japan Limited under the brand name reapp EV Charge.

By signing up for or otherwise using, our App, you agree to comply with these Terms.

Service Provider

These Terms constitute an agreement between you and AB Circle Japan Limited (the "Company"), Shimbashi Place 7F, 1-12-9, Shimbashi, Minato-ku, Tokyo Japan.

2. Use of the App

2.1. Account Registration and Security

• To use the App and its services, you must apply for an account.
• The Company reserves the right to approve or reject any registration at its sole discretion.
• You must provide accurate, complete, and truthful information during registration. The Company is not liable for any damages resulting from false or incomplete information.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account, including unauthorized use.
• You must notify the Company immediately if you suspect unauthorized access to your account.

2.2. Payments

• You agree to pay the usage fees (including charging service fees) as specified in the App or on the Company's website.
• Payments must be made through the methods designated in the App.
• Unless otherwise stated, all payments are non-refundable.
• Additional fees such as parking or transfer fees at charging locations are your responsibility.

2.3. Cancellation Rights

• You may cancel your account at any time by submitting a cancellation request through the method specified by the Company.
• Upon cancellation, you will no longer be eligible to use the App.
• The Company reserves the right to cancel your account if you violate these Terms or engage in fraudulent activity.

2.4. User Responsibilities

• You must ensure that your electric vehicle is compatible with the Company's EV chargers.
• You must follow all instructions and guidelines related to the use of the App and chargers.
• You must ensure you have a stable internet connection to use the App effectively.
• You are responsible for any damage to the charging equipment caused by misuse.

3. Modifications, Suspension, and Termination

• The Company reserves the right to modify, suspend, or terminate the App or its services at any time without prior notice.
• The Company is not liable for any damages or losses resulting from such actions.
• These Terms may be updated from time to time. Changes take effect immediately upon being posted on the Company's website. Continued use of the App after changes constitutes acceptance of the revised Terms.

4. Power Output Adjustment

To ensure optimal service for all users, the Company may adjust charger output based on demand and availability.

5. Personal Information

5.1. Company shall not disclose or leak user's personal information to third parties, except when necessary for the operation of the App.

5.2. Company uses your personal information for the following purposes:

• Proving the App or EV charging services
• Managing user accounts and the App
• Providing updates and promotional information regarding the App
• Conducting surveys
• Creating statistical data and conducting marketing research
• Responding to user inquiries
• Preventing misuse of the App
• Other purposes outlined in Company’s Privacy Policy

5.3. Notwithstanding the provisions of 5.1, Company may disclose your personal information:

• To the user's affiliated organization, if necessary for providing the App
• To developers or operators involved in the App's development and maintenance

5.4. All personal information will be handled in accordance with the Company's Privacy Policy.

6. Scope of Information

The scope of information accessible through the App is determined solely at the Company's discretion.

7. Disclaimer

• The App and services are provided "as is" without warranties of any kind, express or implied.
• The Company does not guarantee the availability or performance of chargers.
• The Company is not liable if your EV cannot be charged due to service or equipment failure.
• The Company is not responsible for any disputes between users or with third parties, including those involving intellectual property or other issues.

8. Limitation of Liability

The Company is not liable for any damages or losses resulting from the use of our services, except in cases of gross negligence or wilful misconduct.

9. Intellectual Property

• All intellectual property rights related to the App and services belong to the Company.
• You are granted a limited, non-exclusive, non-transferable license to use the App solely for EV charging purposes.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

11. Entire Agreement

These Terms constitute the entire agreement between you and the Company and supersede any prior agreements regarding the subject matter.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.
